News Update: BHP Billiton Kicks Up The Offense, Takes $39 Billion Bid Straight To Potash
Mining giant BHP Billiton (NYSE:BHP) kicked up the offense Friday and took its nearly billion takeover bid straight to Potash’s (NYSE:POT) shareholders after the fertilizer company’s board rejected the offer as “”grossly inadequate.”" The Anglo-Australian company was confident in its 0-per-share all-cash bid for the Canada-based company. The bid values the firm at .6 billion and represents a 20% premium to the company’s closing price over its August 11th close, which was one day before BHP floated the offer. BHP Billiton Chairman Jac Nasser commented, “”We firmly believe that Potash Corp. shareholders will find the certainty of a cash offer, at a premium of 32% to the 30-trading-day-period average, very attractive and we have therefore decided to make this offer directly to those shareholders,”" BHP reacted to the spurned bid with the following statement, “”The offer is fully funded and provides Potash Corp. shareholders with immediate liquidity and certainty of value regarding the company’s growth potential in the face of volatile equity markets.”" SmarTrend is bullish on shares of Potash andour subscribers were alerted to buy on July 13, 2010 at .07. The National Association of Realtors said Monday that its index of sales agreements rose 2 percent to a reading of 97. A score of 100 is considered healthy. That is the highest level since April 2010, the last month in which the federal home buying tax credit was available. Numbers for December, however, were revised down from 100.1 to 96.9. Realtors also indicate that buyers continue to have challenges obtaining mortgages. Italy’s borrowing costs fall indicating good news for EU Italy’s 10 year borrowing costs fell to the lowest levels since August at a bond sale indicating that the ECB’s liquidity is beginning to help European nations rebuild. The yield on the bonds was 5.5 percent, down from over 6 percent at the end of January. Both European and Asian markets are mostly up due to European liquidity and slightly lower oil prices. China’s inflation held steady at 4.9% in February, above the government’s target of 4% and the 4.8% increase expected in estimates compiled by FactSet Research, according to Marketwatch.com. Weaker-than-expected Canadian jobs data also pressured markets early. Canada’s economy added a net 15100 new jobs in February, according to Statistics Canada. The market was expecting 25000 new jobs, the Wall Street Journal said. After four straight days of losses, the S&P/TSX index looks poised to gain for the day as bargain hunters emerge and some commodities prices rise. Gold was last up at 20 per ounce. In company news, Silver Wheaton (SLW) rises after its CEO sees the possibility of paying out around half its cash flow each year in dividends, Reuters reports. Denison Mines (DNN) slips despite reporting a narrower quarterly loss on Thursday, helped by higher uranium prices. The S&P/TSX index was last up 0.26% at 13674.03.

Welcome to the ‘Weekly Market Wrap’ for Friday August 31, 2012. The Dow Jones Industrial Average, the Nasdaq, and the S&P 500 edged lower for the week. Crude oil futures are higher this week, trading around .38 per barrel on Friday afternoon. Gold futures are higher this week, trading at 87.02 an ounce in afternoon trading.. In notable economic news this week, new applications for unemployment benefits remained virtually the same with initial jobless claims coming in at a seasonally adjusted 374000 in the week ended August 25 according to the Labor Department. In corporate news this week, Tiffany & Co (TIF) slashed its fiscal-year earnings and revenue guidance for the second quarter, though the company said it expects to see a profit in the holiday season. Best Buy (BBY) announced that the company reached an agreement with founder Richard Schulze, allowing him to form an investment group with private equity sponsors. Bank of Montreal (BMO) announced that quarterly profit increased by 37 percent, beating expectations. The company earned 0 million Canadian, or .42 cents per share Canadian, versus 8 million Canadian, .09 Canadian per share in the same period last year. Potash (NYSE:POT) is seeking another SEC injunction to thwart BHP Billiton’s (NYSE:BHP) efforts to continue to “wrest majority control from POT shareholders in a coercive billion hostile tender offer – an offer built upon false and misleading statements and omissions.” The company’s press release outlined the following complaint, “BHP has also sought to increase its chances of acquiring PCS on the cheap by making its offer in an unusually coercive form. Ever since BHP launched its hostile takeover efforts a month ago, Potash has been searching for another option, while worries in China regarding BHP’s control over the market for its key crop nutrient has enabled them to garner some support from investors in the nation. The report indicated that the bid, which is currently under consideration, would include a big element of capital from a China-based resource firm or investment fund, with smaller pieces of assistance from international sovereign wealth funds and potentially Canadian players like pension funds. The report also indicated that it’s competitor, Mosaic (NYSE:MOS), could be part of the consortium of investors.
